PRICES, PAYMENTS AND QUANTITIES. 2. PREÇOS, PAGAMENTOS E QUANTIDADES. 2.1 Prices. The price of the Product(s) is set forth on the face of this Order. All prices are firm and shall not be subject to change. Supplier’s price includes all: (a) packaging, labeling (including date of manufacture and bar code labeling), insurance, storage, handling, interest and service charges, crating or cartage and any other expenses; (b) shipment charges if Supplier does not utilize Buyer’s designated carrier; and (c) taxes, fees and/or duties applicable to the Products purchased under this Order; provided, however, that any value added tax that is recoverable by Buyer, and any state and local sales, use, excise and/or privilege taxes, if applicable, shall not be included in Supplier’s price but shall be separately identified on Supplier’s invoice. If Supplier is legally obligated to pay value added and/or similar tax, Supplier shall invoice Buyer in accordance with applicable rules to enable Buyer to reclaim such tax. If Buyer is legally required to withhold taxes for which Supplier is responsible, Buyer shall deduct such taxes from payment to Supplier and, unless otherwise provided for under applicable Law, provide Supplier a valid tax receipt in Supplier’s name. WARRANTIES. 8.1 Supplier warrants that all Products provided pursuant to this Order, whether provided by Supplier or any Subcontractor: (a) are free of all claims, liens, security interests, or encumbrances (other than liens arising through Buyer); (b) are of new and merchantable quality, not used, rebuilt or made of refurbished material; (c) are free from all defects in title, workmanship and material, whether latent or otherwise; (d) are free from all defects in design and, if Supplier knows (or has reason to know) of a particular purpose for which Buyer or its customers intend to use the Products, are fit for the particular purpose for which they are intended; (e) are manufactured and provided in strict accordance with all specifications, samples, drawings, designs, descriptions, instructions, plans, end-user documentation, other Documentation and other requirements approved or adopted by Buyer; (f) are manufactured, processed and assembled by Supplier or its approved Subcontractors under Supplier’s direction; (g) are safe for their intended use, non-toxic, and present no abnormal hazards to persons or their environment; (h) comply with all Quality Requirements; (i) have received all applicable regulatory certifications, including 510(k) clearances and CE mark, as required; and (j) (as well as the use and/or distribution of the Products) do not infringe or misappropriate any patent, copyright, trade secret, trademark, or other intellectual property right of any third party

Compliance Information. que sejam aplicáveis de qualquer forma às atividades relacionadas a este Pedido ou à fabricação, rotulagem, transporte, importação, exportação, licenciamento, certificação ou aprovação dos Produtos ou das substâncias químicas neles contidas (coletivamente, “Lei(s)”) e o Guia. Sem limitação ao exposto, o Fornecedor compromete-se a que os Produtos vendidos ao Comprador e sua fabricação cumprirão todas as leis aplicáveis a medicamentos e dispositivos médicos, incluindo regulamentos promulgados pela Food and Drug Administration (FDA – Agência Norte- americana de Vigilância de Alimentos e Medicamentos) dos EUA, Comissão Reguladora Nuclear dos EUA (NRC), os regulamentos do sistema de qualidade conforme estabelecido em 21 CFR parte 820 ou a lei aplicável equivalente na jurisdição relevante e quaisquer outras leis estaduais e federais relevantes e quaisquer leis internacionais comparáveis nos países onde os Produtos são vendidos. Mediante solicitação do Comprador, o Fornecedor deverá fornecer ao Comprador ( ou a seus terceiros ou via plataforma designada, se aplicável) todos os dados, certificações ou outras informações relativas às atividades relacionadas a este Pedido, aos Produtos, e todo material bruto, componentes, Partes ou serviços utilizados na manufatura, montagem, serviços ou reparo dos Produtos e todo e qualquer dado ou informação razoavelmente solictada conforme possa ser exigido para possibilitar o Comprador a cumprir com ou demonstrar a conformid
