2. TERMS OF PAYMENT. Term for the payment of any order is thirty (30) days from the date of invoice to Buyer in local currency or dollars at the exchange rate published by Banco de Mexico in the Official Gazzette of the Federation on the day in which the obligation to pay is due. Should an invoice (“the original invoice”) be disputed wholly or in part by Buyer, Buyer shall, within five (5) days of receipt of the original invoice, return a copy of such invoice to Seller for revision, specifying the item or items which Buyer rejects and the reasons for such rejection. Any invoice which is not rejected within such time period shall be deemed accepted by Buyer. Any undisputed amounts must be paid within the agreed-upon payment term of the original invoice. If Seller corrects any rejected or disputed invoice within the payment term for the original invoice, the rejected or disputed amount shall be payable based on the date of the original invoice. All deliveries are subject to the approval of Seller's Credit Department. Seller reserves the right to require payment in cash or to request Buyer to provide additional guarantees for payment before any delivery to the terms and conditions of this instrument. 3. SHIPMENT, DELIVERY AND TRANSIT OF TITLE. All transportation and routes are subject to the control of Seller. All shipments and deliveries of the Products shall be made in the terms of the Incoterm FCA (Free on Board Transport) at the point of shipment by Seller (definitions according to INCOTERMS 2020). The minimum volume of product for shipment within Mexico which will be shipped by Seller to Buyer is 16 metric tons. The minimum volume of product for shipment within the metropolitan area of Mexico City that will be shipped by Seller to Buyer is 8 metric tons. Should Seller accept an order covering less than the minimum, the Buyer shall collect the Products at the Seller's premises, in the understanding that the price of the Products shall be the price offered to a third party without the benefits contemplated by this instrument. The parties agree that if the delivery of the Products require specialized transportation equipment, including platforms, low beds, such costs will be borne by the Buyer who currently accept those charges, and if Seller for any circumstances incurred those expenses to ship the Product, the Buyer agrees to the respective refund of such costs to Seller. If transportation costs are included in the price of Products or merchandise for any reason and if these increase, the Seller shall be entitled to increase the price to the extent that transportation costs increase. 4. MINIMUM CHARGE. No invoice for cable or wire products will be issued for less than US$1,000.00 (one thousand dollars) or its equivalent in local currency. 5. ACCEPTANCE AND INTEGRITY OF THE COVENANT THROUGH THIS INSTRUMENT. Any quotation made by the Seller of the Products is simply an invitation to purchase on behalf of Buyer, without this constituting an obligation of the Seller. All orders shall be subject to Seller's acceptance before any contract is formed. It is expressly understood and agreed by the parties that all purchase orders that turn the Buyer to the Seller shall include these Terms and Conditions. The terms and conditions of any purchase order or other instrument issued by Buyer, together with these terms and conditions, shall not be binding in any way, unless accepted by Seller in writing. Acceptance by Seller of Buyer's order is expressly limited and conditional upon Buyer's acceptance, who assents to these terms and conditions. The parties agree that any other document relating to additional terms and conditions, or inconsistent with those referenced herein, or different content in purchase orders which in turn may issue the Buyer or other written document of the Buyer to the Seller shall be rejected by the Seller without any justification.

1. PRICES. All prices will be determined by the Seller from time to time and are subject to change without notice by Seller to Buyer and current prices apply at the time of delivery of the Products. Quoted prices may be subject to a rod surcharge applicable on the date of shipment. Prices of products do not include applicable taxes on the purchase and sale, so at the current price of the products the corresponding Value Added Tax and any other corresponding tax in Mexico will be added. Any applicable ad valorem duties or tariffs and any other import fees and taxes imposed on the Products at the time of shipment will be applied to the invoice. Should there be additional taxes to Value Added Tax, for the purchase and sale, they shall be borne by the responsible party in accordance with applicable tax law in Mexico.

6. LIMITED WARRANTIES. Subject to the limitations listed in the section “Limitation on Remedies and Obligations", Seller warrants that the Product delivered by Seller will be free from defects in material and workmanship and will be according to the specifications published by the Seller at the time of delivery as long as the delivery is made on normal terms, with this warranty for a period of one year from the date of delivery of the Product to Seller, unless they are specified other than in writing by Seller. This is the sole and exclusive warranty given by the Seller for the Products and supersedes any other express or implied warranties including, without limitation, merchantability and fitness for a particular purpose, whether or not the purposes have been revealed to Seller in specifications, plans or other means, and whether or not Seller’s Products are specifically designed and / or made by the Seller to the Buyer's use or purpose. This warranty does not extend to any loss or damage caused by misuse, accident, neglect, normal wear and tear, negligence, unauthorized modification or alteration, use beyond its rated capacity, improper power sources or environmental conditions, cosmetic damage, improper installation, repair, improper maintenance, operation of mechanical equipment in poor condition, improperly designed or maintained, or which are used, supplied for use, or made for use in nuclear applications where the Seller has not been notified in writing by the Buyer a

18. RETURNS. Except those provided for against warranty defects, Buyer shall obtain the Seller's written authorization to return the Products at Seller's facilities. Such Products must be current, unused, catalogued Products and must be shipped, transportation prepaid as directed in Seller’s written permission to return such Products. Returns made without the written consent of Seller, will not be accepted by the Seller. The credit amount for return derived from the return of the Products shall be issued at the invoice price or the current price thereof, whichever is lower, and from said price a charge shall be deducted for inspection, re-packaging, storage, and freight return and any other reasonable cost that the Seller incurs into as a result of such return. Seller reserves the right to inspect the products prior to return authorization.
